1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Stilla Technology ("we," "our," or "us") governing your access to and use of our website and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Services

Stilla Technology provides various digital services, including but not limited to web development, SMS services, payment solutions, social media management, and AI integration. The specific services provided to you will be outlined in a separate agreement or service order.

3. User Accounts

Some of our services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. Payment Terms

For paid services, you agree to pay all fees and charges associated with your account on a timely basis and in accordance with the pricing and payment terms presented to you. All payments are non-refundable unless otherwise specified in a separate agreement.

We may change our fees and payment terms at any time, and such changes will be effective upon notice to you. If you do not agree to the changes, you must stop using the services.

5. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are owned by Stilla Technology or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of our materials without our prior written consent.

6. User Content

You retain ownership of any content you submit, post, or display on or through our services ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in any existing or future media.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third party's intellectual property or other rights.

7. Prohibited Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Interfere with or disrupt our services
• Attempt to gain unauthorized access to our systems

8. Limitation of Liability

To the maximum extent permitted by law, Stilla Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with these Terms or your use of our services.

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing or using our services during the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Stilla Technology and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your use of our services, your User Content, or your violation of these Terms.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We may revise these Terms at any time by updating this page. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.
